1. Acceptance of the Terms
By accessing or using the application Huddle Horizon, you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree with these Terms, you must refrain from using the application. The application is provided by huddlehorizon.com (“the Company”, “we”, “our”).
2. Definitions
- Clients: Those who have registered an account to create, manage, and customize huddles for their own end users.
- End Users: Participants who join the huddles created by Clients.
- Huddles: Interactive sessions organized through the application, which may include real-time communications and functionalities powered by artificial intelligence. The interactions during huddles are controlled and regulated by AI models, ensuring automated responses, recommendations, and the implementation of filters for harmful or malicious content.
- AI Models: Artificial intelligence systems integrated into the application to provide automated responses, recommendations, or enhancements during huddles. These models are provided by a third party, which guarantees in its terms that the data generated during interactions will not be used to train its models.
- Usage: In this application, usage is generated by the huddles based on the interactions during the session. Such usage will be charged to the Client’s account that created the huddle.
- Services: All functionalities offered by the application, including, among others, scheduling, conducting, recording, and managing huddles, as well as access to AI-powered functionalities.
3. Eligibility and Account Registration
- Eligibility: All users are welcome to use the application. By registering, you warrant that you have the legal capacity to accept these Terms.
- Account Registration: Clients are responsible for providing accurate and up-to-date information during registration and for keeping their access credentials confidential. End Users may access the application by invitation from a Client and must adhere to the permissions granted.
4. User Responsibilities
4.1. General Obligations
- Compliance: All users agree to comply with all applicable laws, regulations, and these Terms.
- Security: You are responsible for safeguarding your access credentials and must notify us immediately of any unauthorized use.
4.2. Clients
- Huddle Management: Clients have the authority to create, configure, and customize huddles for their respective end users. They are solely responsible for the management, moderation, and security configuration within their huddles.
- Data Accuracy: Clients must ensure that the information provided regarding huddle configuration and participant data is accurate and not misleading.
- Use of AI Functionalities: Clients are responsible for supervising the use of AI functionalities and ensuring that any automated decision complies with applicable laws and ethical standards.
- Customization of Instructions: Clients may customize the instructions given to the models powering the huddles. The Company assumes no responsibility for any implications, effects, or outcomes that may result from such customization.
- Usage and Billing: The usage generated by interactions during huddles will be billed to the Client’s account that created the huddle. It is the Client’s responsibility to monitor and manage the usage associated with their huddles.
- Access to Huddle Information: Clients who generate the huddle link will have full access to the information developed during the huddle, including details and contact information provided by participants at the time of registration.
- Responsibility for AI Information Validity: Huddles may be used for various purposes, such as support, sales, or others. It is expressly stated that anything the AI states or promises during the interaction does not constitute the responsibility of the Clients, who are solely responsible for validating and assessing the accuracy and relevance of what the AI communicates.
4.3. End Users
- Acceptable Use: End Users agree to participate in huddles in a respectful manner and not engage in activities that disrupt or impair the normal conduct of the session.
- Compliance with Guidelines: End Users must adhere to the configurations and rules established by the Client organizing the huddle.
5. AI-Powered Services
- Provision of Third-Party AI Models: The application integrates AI models provided by a third party. This provider guarantees in its terms that the data generated during interactions will not be used to train its models.
- Content Filters: The AI models implement filters to prevent the generation of harmful or malicious content, among other associated risks.
- Disclaimer: Although we strive to offer accurate and reliable results, the outputs generated by the AI may be erroneous, incomplete, or subject to interpretation. The AI models may experience “hallucinations,” that is, they may generate responses that lack accuracy, coherence, or relevance, which should be considered an inherent phenomenon of the technology.
- Limitations and Use of Information: It is recommended to use the AI outputs solely as complementary tools. The Company does not assume responsibility for any statements, promises, or recommendations made by the AI, and the validity of such information is solely at the discretion and judgment of the Client.
- Modification and Improvement: We continuously work to improve our AI models. Therefore, functionalities and outputs may vary without prior notice.
6. Data Privacy and Security
- Collection and Use of Data in Huddles: Data collected during interactions in huddles may be used to generate analyses powered by AI models or for service quality purposes. This information will be used in an aggregated and anonymized form, unless otherwise stated in our Privacy Policy.
- Data Collection: Our practices regarding data collection and processing are described in the Privacy Policy, which is incorporated herein by reference.
- Data Protection: We employ industry-standard security measures to protect user information. However, no method of transmission over the Internet is completely secure, so we cannot guarantee absolute security.
- User Responsibility: Users must not interfere with the application’s security measures or attempt to gain unauthorized access to any part of the system.
- Admin User Responsibility:The admin user is responsible for the name and identity displayed to end users. Admins must not impersonate others or mislead users about their identity.
7. Intellectual Property
- Copyright and Trademark: All content, trademarks, and intellectual property rights of the application and its AI technologies belong to the Company or its licensors.
- License: Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the application as stipulated.
- Restrictions: Reproducing, distributing, modifying, creating derivative works, publicly displaying, or otherwise exploiting any part of the application without the prior written consent of the Company is prohibited.
8. Prohibited Activities
Users agree not to:
- Attempt to reverse engineer, decompile, or extract the source code of the application or any AI model.
- Interfere with the normal functioning of the application, including bypassing security measures or injecting malicious code.
- Use the application to transmit or store harmful, illegal, or third-party infringing content.
- Exploit system vulnerabilities to alter or manipulate usage records, huddle parameters, or AI outputs.
- Engage in behavior that could damage the reputation or functioning of Huddle Horizon or its users.
9. Third-Party Services and Content
- The application may contain links to websites or third-party services. We do not control and are not responsible for the content or practices of these third parties.
- The use of third-party services is governed by the terms and conditions established by those third parties.
10. Termination
- Termination by the Company: The Company reserves the right to suspend or cancel any account at its discretion, without prior notice, in the event of a violation of these Terms or conduct that harms the integrity, security, or performance of the application.
- Termination at Client Request: Clients may request the cancellation of their account. Such a request will be evaluated, and, if applicable, the account may be canceled. Any potential refund of credits will be based on the balance existing at the time of the effective cancellation, not on the date of the request.
- Effects of Termination: Once the account is terminated, access to the application will be deactivated and all rights granted under these Terms will immediately cease.
11. Limitation of Liability and Disclaimers
- Disclaimer of Warranties: The application is provided "as is" and "as available," without any express or implied warranties, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Limitation of Liability: Under no circumstances shall the Company, its affiliates, or licensors be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of the application or reliance on AI-generated content.
- Acknowledgment of Risks: By using the application, users acknowledge and accept the inherent risks associated with AI-powered services and data transmission over the Internet, including the possibility that the AI may generate inaccurate or unverified information.
12. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its officers, employees, and affiliates from any claims, liabilities, damages, losses, or expenses arising from your access to or use of the application, your violation of these Terms, or infringement of any third-party rights.
13. Modifications to the Terms
We reserve the right to modify or update these Terms at any time. Changes will be effective immediately upon posting on the application. Continued use of the application after any modification constitutes acceptance of the new Terms, so it is the user’s responsibility to review them periodically.
14. Governing Law and Dispute Resolution
- Governing Law: These Terms shall be governed by and construed in accordance with the laws of jurisdiction of Virginia, United States, without regard to its conflict of law principles.
- Dispute Resolution: Any dispute arising from these Terms or the use of the application shall be resolved through binding arbitration in accordance with the rules of American Arbitration Association, unless a competent court orders otherwise.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy and any other referenced policies, constitute the entire agreement between you and the Company regarding your use of the application and supersede any prior agreements or understandings, whether oral or written.
